1. Agreement to Terms 

By accessing our website at 321automations.com or engaging our services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Client" or "you") and 321 Automations ("Company," "we," "us," or "our"). If you do not agree to these Terms, please do not use our website or services. 

We reserve the right to update these Terms at any time. Continued use of our services following any changes constitutes your acceptance of the revised Terms. 

 

2. Description of Services 

321 Automations provides AI-powered lead conversion and follow-up automation systems designed for contractors and service-based businesses. Our services may include: 

- Automated lead response systems via text and email 

- CRM pipeline setup and configuration 

- Automated follow-up sequences 

- Workflow automation consulting and implementation 

- Ongoing system monitoring and support 

The specific services provided to each client will be outlined in a separate service agreement or proposal. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. 

 

3. Client Responsibilities 

As a client of 321 Automations, you agree to: 

- Provide accurate and complete information necessary for us to deliver our services 

- Ensure you have the legal right to use any phone numbers, email addresses, contact lists, or other data you provide to us 

- Comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other federal, state, or local laws governing communications and marketing 

- Obtain all necessary consents from your own customers and leads before enrolling them in any automated messaging system we set up on your behalf 

- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access 

 

4. Fees and Payment 

Monthly Subscription 

Our services are provided on a monthly subscription basis. Fees are billed in advance at the beginning of each billing cycle. By providing your payment information, you authorize 321 Automations to charge your payment method on a recurring monthly basis until you cancel. 

 

Payment Processing 

Payments are processed securely through Stripe. By using our services, you also agree to Stripe's terms of service. We do not store your full credit card information on our systems. 

 

Late Payments 

If a payment fails or is declined, we will notify you and attempt to process the payment again. If payment is not received within 7 days of the due date, we reserve the right to suspend your services until payment is resolved. 

 

Price Changes 

We reserve the right to change our pricing at any time. We will provide at least 30 days written notice before any price increase takes effect for existing clients. 

 

5. Cancellation Policy 

You may cancel your subscription at any time by providing written notice to us via email at [email protected] or by calling 689-231-2303. Cancellations must be received at least 7 days before your next billing date to avoid being charged for the following month. 

Upon cancellation, your service will remain active through the end of your current billing period. We do not provide refunds for partial months of service. 

We reserve the right to cancel or terminate your account at any time for violation of these Terms, non-payment, or any other reason we deem appropriate, with or without prior notice. 

 

6. Refund Policy 

Due to the setup work and resources invested at the start of each client engagement, we do not offer refunds on monthly subscription fees once a billing cycle has begun. If you are unsatisfied with our services, please contact us so we can work to resolve the issue. Exceptions to this policy may be made at our sole discretion on a case-by-case basis. 

 

7. Intellectual Property 

All content, materials, processes, and systems created or provided by 321 Automations — including but not limited to automation workflows, templates, and system configurations — remain the intellectual property of 321 Automations unless otherwise agreed in writing. 

You retain ownership of all data, content, and materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services to you. 

 

8. Confidentiality 

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the service relationship. This includes but is not limited to client lists, business strategies, pricing, and technical processes. This obligation survives the termination of these Terms. 

 

9. Compliance with Communication Laws 

You acknowledge and agree that you are solely responsible for ensuring that your use of our automated messaging and lead follow-up systems complies with all applicable laws, including the TCPA, CAN-SPAM Act, and any applicable state laws. 321 Automations is not responsible for any legal claims, fines, or penalties arising from your failure to obtain proper consents or comply with applicable communication regulations. 

 

10. Disclaimer of Warranties 

Our services are provided on an "as is" and "as available" basis. 321 Automations makes no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee any specific results, including lead conversion rates, revenue increases, or business outcomes from the use of our services. 

 

11. Limitation of Liability 

To the maximum extent permitted by applicable law, 321 Automations shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, lost revenue, lost data, or business interruption, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages. 

Our total liability to you for any claims arising under these Terms shall not exceed the total amount you paid to us in the three months preceding the claim. 

 

12. Indemnification 

You agree to indemnify, defend, and hold harmless 321 Automations and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any applicable law or regulation. 

 

13. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida. 

 

14. Dispute Resolution 

In the event of any dispute arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute informally by contacting us directly. If the dispute cannot be resolved informally within 30 days, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association before pursuing any other legal remedy. 

 

15. Entire Agreement 

These Terms, together with our Privacy Policy and any separate service agreement or proposal, constitute the entire agreement between you and 321 Automations regarding your use of our services and supersede all prior agreements and understandings.
